Bin Hu Karg, Esq.

Bin Hu Karg is a founding partner of VCL Law LLP. Her practice focuses on representing technology, life sciences and growth business enterprises at all stages of development, guiding them from inception into fund raising and eventually exiting through IPOs or mergers and acquisitions. She acts as an outside general counsel to start-ups, and as they expand, continues to serve their increasingly sophisticated legal needs. Her areas of expertise include venture financings, equity and debt private placements, public offerings, corporate governance, SEC compliance, joint ventures, mergers and acquisitions, licensing and technology transactions and other corporate and securities law matters.

Ms. Karg has a decade of experience in both private and public financings and in advising enterprises as well as investors. She started her legal career at Davis Polk & Wardwell LLP, a premier Wall Street law firm, where she represented corporate and financial institution clients across a broad range of capital markets transactions, including IPOs and other equity offerings, and investment-grade, high-yield and convertible debt offerings. She later joined Wilson Sonsini Goodrich & Rosati, P.C., an international law firm headquartered in Silicon Valley, where she advised emerging growth companies and public companies on venture financings, private equity transactions and SEC registered offerings.

Ms. Karg is also recognized for her extensive experience in cross-border transactions. Having counseled buyers and investors in investments and acquisitions in Asia and Europe, Ms. Karg is well positioned to be a trusted advisor to her clients in carrying out their global strategies.

Ms. Karg earned a J.D. from Columbia Law School, an L.L.M. from New York University School of Law, and an L.L.B. from Beijing Foreign Studies University School of Law. Ms. Karg is admitted to practice law in New York and Texas. Ms. Karg’s working languages are English and Chinese. She can also carry on basic conversations in German.

• Represented Global Health Science Fund in Series C preferred equity financing of up to $98 million by V-Wave Ltd., an Israeli medical device company focused on developing percutaneous implantable devices for treating patients with chronic heart failure.
• Represented a Pennsylvania based clinical stage ophthalmology drug development company in negotiation of cross-border license agreements and clinical trial agreements, establishment of equity incentive plan and Series B preferred equity financing.
• Represented Global Health Science Fund in Series A preferred equity financing of €16 million by ABAC Therapeutics, a biotechnology company developing novel pathogen-specific antibiotics based in Barcelona, Spain.
• Represented a leading Chinese pharmaceutical company in negotiation of a PIPE transaction to acquire 19.9% equity stake of an Ohio based U.S. public biotechnology company developing regenerative medicine.
• Represented a Massachusetts based biotechnology company in pre-A convertible notes financing.
• Represented Global Health Science Fund in Series A preferred equity financing of $23 million by Lyndra Therapeutics, a Massachusetts based biotechnology company developing novel therapeutic platform designed to sustain extended drug release in oral dosage form.

• Represented a Silicon Valley software company providing open source-based solutions in acquisition of certain assets of a US public company.
• Represented an identity and access management software company based in Silicon Valley in seed round preferred equity financing and general corporate matters.
• Represented a Silicon Valley based optical technologies company in seed round equity financing.
• Represented an offshore venture capital fund in negotiation of a Series B preferred equity investment into a gaming company based in Silicon Valley, California.
