We provide value-added legal services to entrepreneurial startups and venture capital backed emerging companies through their full business life cycle, from initial formation until exit through mergers and acquisitions or transitions into public companies. We advise our startup clients on entity formation, fundraising, capitalization structure, corporate governance, employment issues, intellectual property rights and other areas important to their success. We also represent venture capital firms and other institutional investors in making investments into emerging growth companies.

We represent buyers, sellers, major stakeholders, financial advisors, management and other participants in various types of M&A transactions across different industries. Our transactional experience includes traditional M&A transactions for private and public companies, cross-border transactions, private-equity sponsored transactions, auctions and other bid programs, carve- outs and other divisional sales/ acquisitions, and joint ventures and strategic alliances.

We have substantial experience representing leading issuers, underwriters and sponsors through the IPO and listing process as well as advising on cross-border, multi- listing IPOs and US registrants’ overseas listings. We also counsel foreign companies on US securities laws and regulatory framework, helping them set foot into the US capital markets. We have extensive connections with the investment banks that are actively engaged in underwriting securities offerings by Chinese companies in the US.

 We render tax-related services in an array of corporate transactions, including mergers and acquisitions, restructurings and spin-offs. We incorporate tax considerations into our corporate advice, taking into account business and non-tax legal issues, to devise the most effective structures to achieve clients’ goals. A significant aspect of our tax work involves handling cross-border matters, both in-bound and out-bound. We routinely counsel domestic clients on US tax aspects of their overseas expansions and foreign clients on tax issues relating to their US acquisitions and operations. 

We offer services across a wide range of intellectual property transaction structures, territories, development stages and technologies, including exclusive license of early-stage technologies from research institutions, co-development of products and profit-sharing arrangements, joint-venture collaborations in conjunction with equity or debt investments, exclusive marketing rights of commercial stage products, and cross-border licensing and co-development.

We assist clients in a variety of international trade matters including trade remedy proceedings (such as antidumping and countervailing duty investigations and administrative reviews) before the U.S. Department of Commerce, International Trade Commission, and CBP, trade appellate litigation before U.S. trade courts, and customs compliance and enforcement issues.  We also counsel clients on trade issues that arise in business transactions and provide strategy and counsel to clients on a variety of tariffs.
