Ying Ding is a transactional attorney with over a decade of experience in corporate, commercial and tax matters with a special focus on life sciences and healthcare industry.

Ms. Ding’s corporate practice focuses on cross-border mergers and acquisitions and venture capital investments. She assists clients in stock and asset purchases, merger transactions, and equity and debt financings, including advising on deal structuring, conducting legal due diligence, drafting and negotiating transaction documents, and facilitating closing. She routinely advises early-stage companies on general corporate matters, from business formation and corporate governance to equity compensation.

Ms. Ding also specializes in technology and commercial transactions involving biotech and pharmaceutical companies. She has significant experience in technology licensing, co-development and commercialization, master service agreements with contract research organizations for pre-clinical and clinical studies, biologics development and manufacturing, collaborative and sponsored research, distribution arrangements, material transfer agreements, and nondisclosure agreements.

In her tax practice, Ms. Ding assists corporate clients with tax planning and structuring in a variety of business contexts, including entity formation, mergers and acquisitions, reorganization, overseas investment, and equity compensation. She advises both domestic and foreign corporate clients on a wide range of federal income tax matters, covering corporate, partnership, and international tax. She is experienced in drafting and reviewing tax-related provisions in transactional documents.

• Represented a leading Chinese pharmaceutical company in negotiation with a U.S. public company to acquire an exclusive license of Greater China right with respect to certain drug assets approved by the U.S. FDA.
• Advised a Pennsylvania-based clinical stage ophthalmology drug development company on negotiation with a German pharmaceutical company to acquire an exclusive license for the development and commercialization of a portfolio of drug assets investigated under multicenter clinical trials.
• Developed confidentiality and material transfer agreements for a Pennsylvania-based gene therapy company and advised it on various in-licensing transactions.
• Advised a Maryland-based innovative drug development company on master service agreements with contract research organizations for pre-clinical and clinical studies.
• Reviewed and drafted extensive portfolio of master service agreements for a global contract research organization for in vitro and in vivo studies.
• Advised a U.S. biotech company on negotiation with a contract development and manufacturing organization for cell line development and manufacturing of antibody products.
• Advised a Silicon Valley VC-backed chip development startup on structuring of its global equity incentive program and the issuance of stock options.
